Terms of Service

1. Definitions

• "Umbra Labs", "we", "us", or "our" refers to Cadaero SARL, a French company (SARL), the publisher of the Add-on.
• "Add-on" or "Service" refers to Compliance Scanner, a Google Workspace Add-on available on the Google Workspace Marketplace.
• "User", "you", or "your" refers to any individual or entity that installs or uses the Add-on.
• "Spreadsheet Data" refers to the content of the Google Sheets documents you process using the Add-on.
• "Free Plan" refers to the no-cost tier of the Service with limited functionality.
• "Pro Plan" refers to the paid subscription tier with full functionality.

2. Description of Service

Compliance Scanner is a Google Sheets Add-on that helps users detect and anonymize personally identifiable information (PII) within their spreadsheets. The Service provides:

• Detection of 60+ types of PII (emails, phone numbers, IBANs, national identification numbers, passport numbers, API keys, etc.) across 14 countries.
• One-click anonymization via masking (****) or SHA-256 hashing.
• A GDPR risk score based on detected data types.
• PDF compliance report export (Pro Plan only).
• Multi-sheet scanning (Pro Plan only).

The Service is provided as-is and is intended as a compliance assistance tool. It does not constitute legal advice.

3. Eligibility & Account

To use the Service, you must:

• Have a valid Google account and access to Google Sheets.
• Be at least 18 years of age or the legal age of majority in your jurisdiction.
• If acting on behalf of an organization, have the authority to bind that organization to these Terms.

The Add-on is installed directly from the Google Workspace Marketplace. No separate account registration with Umbra Labs is required for the Free Plan. The Pro Plan requires a valid payment method via our payment processor (Stripe).

4. License Grant

Subject to your compliance with these Terms, Umbra Labs grants you a limited, non-exclusive, non-transferable, revocable license to use the Add-on for your internal business or personal purposes.

Pro Plan License: Upon payment, a unique license key is issued to you. This key is:

• Bound to a single Google account (the first account used to activate it).
• Non-transferable and may not be shared or resold.
• Valid for the duration of your active subscription.

You may not sublicense, sell, resell, transfer, assign, or otherwise exploit the Service or your license key.

5. Data Access & Privacy

5.1 How the Add-on Accesses Your Data

Compliance Scanner accesses your Google Sheets data exclusively within Google's infrastructure using Google Apps Script. The Add-on reads the content of your spreadsheets solely to perform PII detection and anonymization as requested by you.

5.2 Data Storage

Your Spreadsheet Data is never transmitted to, stored on, or processed by Umbra Labs' servers. All scanning and anonymization operations occur entirely within Google's servers (Google Apps Script runtime) under your Google account's security context.

5.3 Data We Do Collect

When you subscribe to the Pro Plan, our payment processor (Stripe) collects and processes your payment information. Umbra Labs receives only:

• Your email address (for license key delivery).
• An anonymous account identifier generated locally within your Google account (for license binding).
• Payment status events from Stripe (subscription created, cancelled).

5.4 Google API Services User Data Policy

Compliance Scanner's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

5.5 GDPR

As a company registered in France, Umbra Labs (Cadaero SARL) complies with the General Data Protection Regulation (GDPR). For any data protection inquiry, contact us at the address provided in Section 14.

6. Subscription & Billing

6.1 Free Plan

The Free Plan is available at no cost and includes scanning of up to 50 rows per sheet and a limited set of PII detection types. It is provided without any guarantee of continuity.

6.2 Pro Plan

The Pro Plan is available for €14.90 per month (inclusive of applicable taxes). Payment is processed by Stripe. By subscribing, you authorize Stripe to charge your payment method on a monthly recurring basis.

6.3 Cancellation

You may cancel your subscription at any time via the Stripe Customer Portal. Upon cancellation, your Pro Plan access will be revoked immediately. No refunds are issued for the unused portion of the current billing period.

6.4 Price Changes

We reserve the right to change our pricing with at least 30 days' notice communicated via email to the address on file with Stripe.

6.5 Taxes

You are responsible for all taxes, duties, and levies imposed by any government authority in connection with your use of the Service, other than taxes based on Umbra Labs' net income.

7. Acceptable Use

You agree not to use the Service to:

• Process data you do not have the legal right to access or process.
• Attempt to reverse-engineer, decompile, or extract the source code of the Add-on.
• Circumvent any access controls or security measures.
• Share, resell, or distribute your Pro Plan license key.
• Use the Service in a manner that violates applicable laws, including data protection laws (GDPR, CCPA, etc.).
• Automate the Service in a way that generates abusive or excessive API requests.

Umbra Labs reserves the right to suspend or terminate your access if a violation of this section is detected.

8. Intellectual Property

The Add-on, including its code, design, algorithms, and all associated documentation, is the exclusive property of Cadaero SARL and is protected by French and international intellectual property laws.

Your Spreadsheet Data remains your property at all times. You grant Umbra Labs no rights in your Spreadsheet Data beyond what is strictly necessary to provide the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Umbra Labs does not warrant that:

• The Service will detect all PII present in your data (false negatives may occur).
• The Service will not produce false positives (matches on non-PII data).
• The Service will be uninterrupted, error-free, or secure.
• Results obtained from the Service constitute legal compliance with any regulation.

The Service is a technical assistance tool and does not replace qualified legal or compliance advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CADAERO SARL (UMBRA LABS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €50.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if:

• You breach any provision of these Terms.
• We are required to do so by law or a competent authority.
• We decide to discontinue the Service (with reasonable advance notice).

You may terminate your use of the Service at any time by uninstalling the Add-on from your Google account and cancelling any active subscription.

Upon termination, all licenses granted to you immediately expire. Sections 8, 9, 10, and 13 survive termination.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via the email address associated with your subscription or by updating the "Last updated" date above. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of France.

If you are a consumer in the European Union, you may also have the right to use the EU Online Dispute Resolution platform.
